Terms of Service

Agent Station, Inc. is a technology company based in Seoul, South Korea. We develop and operate Manshin, an AI companion application designed for personal use. Manshin provides AI-powered conversational and creative assistance to individual users through our mobile application and website.

To use the Service, you must:

• Be at least 13 years of age (or the minimum age required in your jurisdiction);
• If you are under 18, have the consent of a parent or legal guardian;
• Create an account with accurate and complete information;
• Maintain the security of your account credentials.

You are responsible for all activity that occurs under your account. You must notify us immediately at manshin@agsn.ai if you suspect unauthorized use of your account.

We reserve the right to refuse service, terminate accounts, or restrict access at our sole discretion.

You may use the Service only for lawful purposes and in accordance with these Terms. When using the Service, you agree not to:

• Use the Service in any way that violates applicable laws or regulations;
• Use the Service to generate content that is harmful, abusive, harassing, threatening, or otherwise objectionable;
• Attempt to reverse engineer, decompile, or disassemble any part of the Service;
• Circumvent or attempt to circumvent any safety measures, filters, or restrictions built into the Service;
• Use the Service to develop competing AI products or services;
• Use automated means (bots, scrapers, etc.) to access the Service;
• Interfere with or disrupt the integrity or performance of the Service;
• Impersonate any person or entity or misrepresent your affiliation.

We may establish usage limits, rate limits, or other restrictions on the Service at any time.

Your Content. You retain ownership of the content you provide to the Service ("Input"). Subject to these Terms, Agent Station assigns to you all of its right, title, and interest in the output generated by the Service based on your Input ("Output"). You are responsible for your Input and for how you use the Output, including ensuring it does not violate any applicable law or these Terms.

Accuracy. AI-generated Output may not always be accurate, complete, or current. You should not rely on Output as a sole source of truth or as a substitute for professional advice. You are responsible for evaluating and verifying Output before relying on it.

Similarity of Output. Due to the nature of AI, other users may receive similar or identical Output. Outputs that are not unique to you are not considered your exclusive content.

AI Processing. Your Input may be processed by Agent Station's proprietary AI models and/or transmitted to third-party AI service providers (including OpenAI, Google, xAI, and Anthropic) to generate Output. By submitting Input, you consent to this transmission. Please review our Privacy Policy for details on what data is shared and how it is protected.

License to Us. By providing Input, you grant Agent Station a non-exclusive, worldwide, royalty-free license to use your Input as necessary to provide, maintain, and improve the Service, subject to our Privacy Policy.

5.1 BOK Credits. "BOK" credits are prepaid credits used to access paid content and features within the Service. BOK comes in two types:

• Paid BOK: BOK you purchased for consideration;
• Bonus BOK: BOK granted by us free of charge through promotions, events, rewards, or subscription benefits (including extra credits granted upon purchase).

BOK may only be used within the Manshin service and may not be used to purchase goods or services provided by third parties. BOK is non-transferable, may not be lent or sold to others, and is non-redeemable for cash.

5.2 Purchase Channels. BOK may be purchased through the following channels, and product pricing and composition (including whether Bonus BOK is included) may differ by channel:

• In-app purchase: via the Apple App Store or Google Play, subject to the applicable app market's terms and payment policies.
• Website payment (users residing in the Republic of Korea): via our contracted payment gateway, using payment methods such as credit/debit cards, easy pay, bank transfer, or virtual account.
• Website payment (users residing outside the Republic of Korea): via our contracted international payment partner. The partner acts as Merchant of Record and sells to you directly, handling payment processing, tax collection, and payment-related refunds. The seller's name and terms are displayed at checkout and also apply.
• Order of precedence: matters of payment processing, payment methods, and taxes are governed by the applicable channel's terms (app market or international payment partner); matters of BOK usage, and refund standards are governed by these Terms. In no case are your statutory rights limited.

5.3 Using BOK. BOK can be used for paid services in Manshin.

5.4 Withdrawal and Refunds.

• Withdrawal: You may cancel a BOK charge and receive a full refund of the payment amount within 7 days of the charge (or any longer period required by applicable law) if no Paid BOK from that charge has been used. Upon such cancellation, Bonus BOK granted incidental to that charge will be deducted from your balance; use of such incidental Bonus BOK does not restrict your right of withdrawal.
• Refund of remaining BOK (pro rata): Even after the withdrawal period, or where a charge has been partially used, you may at any time request a refund of the remaining balance on a per-charge basis. The refund amount is calculated by prorating the actual payment amount of that charge (in the payment currency) by the unused portion: refund = payment amount × remaining BOK subject to refund ÷ total BOK granted for that charge (including Bonus BOK). A refund handling fee of 10% is deducted from the calculated amount, and amounts below the smallest unit of the payment currency are rounded up (this fee applies only to voluntary refunds under this paragraph, not to statutory withdrawal above). The refunded BOK (the entire remaining amount subject to refund, including Bonus BOK) is deducted from your balance.
• Standalone Bonus BOK: Bonus BOK granted on a standalone basis without an associated payment (events, rewards, etc.) has no payment amount and is therefore not refundable.
• Refund processing: Refunds are made to the original payment method in principle. Refunds upon statutory withdrawal are completed within 3 business days as required by applicable law. Other refunds are initiated within 3 business days of receiving your request and completed without undue delay; depending on the payment method and channel, additional time may be required until the funds are actually credited or the charge is reversed (if delayed, we will notify you of the reason and expected timing). Refunds for app market purchases may also be subject to the market's refund procedures, and refunds for purchases via the international payment partner may be processed by that seller; where a refund cannot be completed through the applicable channel, we will refund you directly by a method we designate (such as bank transfer).
• Abuse prevention: Repeated or abnormal transactions abusing the refund system may be restricted.

5.5 Subscriptions. We may offer subscription plans providing access to premium features. Subscription terms, pricing, and features will be displayed at the time of purchase. BOK granted incidental to a subscription is deemed Bonus BOK. Cancellation and refunds of subscriptions are subject to the purchase channel's policies and applicable law.

5.6 Price Changes. We may change the pricing and composition of BOK products. Changes apply only to purchases made after the change and do not affect BOK already charged.

5.7 Balance and History. You can view your BOK balance and top-up and usage history in the Service.

5.8 Account Deletion. If you delete your account, remaining BOK is forfeited upon completion of the deletion process and cannot be restored. If Paid BOK remains at the time of deletion, we will first guide you through the refund request process under Section 5.4.

5.9 Minors. Purchases of BOK by minors (under 19 years of age) require the consent of a legal guardian; payments made without such consent may be cancelled by the minor or their legal guardian, except where cancellation is restricted under applicable law (such as where the minor used deception to appear to be an adult).

5.10 Manshin Pass. Manshin Pass is your Manshin membership. Enjoy unlimited conversations in every story in Chat.

Enjoy bonus BOK every month with your monthly subscription. If a payment is refunded, the bonus BOK from that payment is removed.

The 1-day pass lasts 24 hours from the Apple purchase time and does not renew automatically. The monthly subscription renews automatically each month. Turn off auto-renewal in Apple subscription settings before the next renewal. Access continues through the paid period after cancellation.

The free allowance is displayed in the chat. Each story has a 24-hour period from its first free use, shared by all conversations in that story. After 24 hours, the next free use starts a new period. Unused replies do not carry over. Each AI reply generated by sending a message, continuing, or regenerating counts once. Confirmed generation failures do not count. Suggested responses do not count, but become unavailable when the free allowance is exhausted.

The pass is linked to the Manshin account used to purchase it and cannot be transferred. If it is missing, check that you are using the same Manshin account and the Apple account used for the purchase, then tap the purchase button again. An existing valid pass will be applied without another payment. You can buy another pass once your active pass expires. Monthly subscription renewals continue as usual.

For App Store purchases, request a refund from Apple. Eligibility is subject to Apple policies and applicable law.

The Service, including all software, algorithms, models, designs, text, graphics, logos, and other materials (excluding your Input and Output), is the property of Agent Station or its licensors and is protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial purposes in accordance with these Terms. This license does not include the right to:

• Copy, modify, or distribute any part of the Service;
• Use the Service's underlying technology, models, or algorithms;
• Remove any copyright, trademark, or other proprietary notices.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

The Service utilizes Agent Station's proprietary AI models as well as third-party artificial intelligence service providers, including OpenAI, Google, xAI, and Anthropic, to process your inputs and generate responses. By using the Service, you acknowledge and consent to the transmission of your inputs to these providers as described in our Privacy Policy.

By You. You may stop using the Service and delete your account at any time by contacting us at manshin@agsn.ai or through the account settings in the application or on the website.

By Us. We may suspend or terminate your access to the Service at any time, with or without cause, including if we reasonably believe you have violated these Terms (including the prohibited conduct in Section 3).

Discontinuation. We may modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to notify you in advance of any material changes.

Effect of Termination. Upon termination, your right to use the Service immediately ceases. Sections of these Terms that by their nature should survive termination will continue to apply.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE OUTPUT GENERATED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR RELIABLE.

You agree to indemnify, defend, and hold harmless Agent Station, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGENT STATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
• ANY OUTPUT OBTAINED FROM THE SERVICE; OR
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT.

IN NO EVENT SHALL AGENT STATION'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO AGENT STATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Agent Station respects intellectual property rights. If you believe that content available through the Service infringes your copyright, please send a notice to manshin@agsn.ai containing:

• A description of the copyrighted work you believe has been infringed;
• A description of the material you believe is infringing and its location within the Service;
• Your contact information (name, address, email, phone number);
• A statement that you have a good faith belief that the use is not authorized by the copyright owner;
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner;
• Your physical or electronic signature.

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions.

Jurisdiction. Any dispute arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Seoul, Republic of Korea.

Informal Resolution. Before filing any formal legal action, you agree to first contact us at manshin@agsn.ai and attempt to resolve the dispute informally for at least 30 days.

Changes to Terms. We may modify these Terms at any time. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Agent Station regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Export Controls. You agree to comply with all applicable export control laws and regulations in your use of the Service.

Language. These Terms are published in Korean and English, and translations into other languages may be provided. For users residing in the Republic of Korea, the Korean version prevails; for all other users, the English version prevails. Other translations are provided for convenience only, and in case of any inconsistency, the applicable authoritative version above prevails.

The following terms apply where you access the Service through a mobile application downloaded from the Apple App Store or Google Play.

App Market Terms. These Terms are between you and Agent Station, not with Apple Inc. or Google LLC. Apple and Google have no obligation to provide maintenance or support for the Service. Your download and use of the application are also subject to the applicable app market's terms.

Third-Party Beneficiary. Apple Inc., solely with respect to the provisions applicable to the Apple App Store, and Google LLC, solely with respect to the provisions applicable to Google Play, are third-party beneficiaries of these Terms, and each has the right to enforce such provisions.

License Scope. The license granted to you for the mobile application is limited to a non-transferable license to use the application on devices you own or control, in accordance with the applicable app market's usage rules.
